By using the platform, you agree to be bound by these Terms.

2. Acceptance of Terms

By accessing or using Wkil, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you must stop using the platform immediately.

3. Eligibility

You must be of legal age and have full legal capacity to enter into binding agreements under the laws of your jurisdiction. You are solely responsible for complying with all applicable laws and regulations when using Wkil.

4. User Accounts

When creating an account on Wkil you agree to:

• Provide accurate, current, and complete information during registration.
• Keep your login credentials confidential and not share them with any third party.
• Accept sole responsibility for all activity that occurs under your account.
• Notify Wkil immediately of any unauthorized access or security breach.

5. License to Use Wkil

Wkil grants you a limited, non-exclusive, revocable, non-transferable license to use the platform in accordance with your active subscription. You may not:

6. AI Agents & Platform Usage

You remain solely responsible for anything you create, upload, or configure on the platform, including its lawfulness, appropriateness, and respect for the rights of others.

Wkil's services include the following features, which are subject to these Terms:

• AI Agents — configuration, execution, and permissions.
• AI Credits — consumption units for running agents and models.
• Workspaces — isolated environments for teams and roles.
• Knowledge Base — indexed content that grounds your agents.
• Uploaded Files — documents and media the platform processes on your behalf.
• Prompts — the instructions and inputs sent to models.
• AI Generated Outputs — the responses and artifacts produced by the platform.

7. Subscription Plans & AI Credits

Wkil offers several plans:

• Individual plan — for individuals and personal use.
• Business plan — for teams and growing companies.
• Enterprise plan — for large organizations with dedicated support and advanced features.
• Subscriptions renew automatically (monthly or annually) and include a defined AI Credits allowance.
• You may purchase additional AI Credits at any time; they apply within the current billing cycle unless stated otherwise.
• Pricing may be updated from time to time, with prior notice before the start of the next billing cycle.
• In case of a failed payment, paid services may be suspended until outstanding invoices are settled.

8. Cancellation & Account Termination

• You may cancel your subscription at any time from your account settings; access continues until the end of the paid billing cycle.
• Wkil may terminate or suspend your account for violations of these Terms or for abusive or fraudulent behavior.
• Before final deletion, you may export your data using the export tools available in the platform.
• After termination, we retain your data for a reasonable period (typically up to 30 days) before final deletion, except where longer retention is legally required.

9. Intellectual Property

All rights and intellectual property in the Wkil platform, including its software, trademarks, logos, interface, design, and documentation, belong to United Integrated Solutions. You retain ownership of the content you upload or create, and you grant Wkil a limited license to process it solely for the purpose of delivering the requested service.

10. Third-Party Services

The platform may rely on third-party services, including AI model providers, APIs, cloud infrastructure providers, and external integrations. These services are governed by their own Terms and Privacy Policies, which we encourage you to review. Wkil is not responsible for any failure or interruption originating from these third-party services.

11. Acceptable Use

You may not use the Wkil platform for any of the following:

• Publishing or storing illegal, abusive, or otherwise unlawful content.
• Distributing malware, viruses, or hacking tools.
• Conducting phishing attacks or impersonating others.
• Sending unsolicited or unwanted promotional messages (spam).
• Infringing intellectual property or copyright.
• Running abusive automation or deliberately exceeding fair-use limits.
• Attempting unauthorized access to systems, accounts, or data.
• Misusing AI Agents in a way that harms users or third parties.

12. Service Availability

We make reasonable efforts to keep the platform available. However, Wkil may perform maintenance, update features, temporarily suspend services, or improve functionality without prior notice. We do not guarantee that the service will be uninterrupted or error-free, and any temporary interruption does not constitute a breach of these Terms.

13. Disclaimer

• AI-generated outputs may contain errors or inaccurate information.
• You are responsible for independently verifying any material information before relying on it.
• Wkil does not guarantee the accuracy, completeness, or suitability of outputs for any specific purpose.
• The platform is provided "as is" and "as available" without warranties of any kind, express or implied.

14. Limitation of Liability

In all cases, our total aggregate liability to you shall not exceed the amounts you paid to Wkil during the twelve months preceding the event giving rise to the claim.

To the maximum extent permitted by law, neither Wkil nor United Integrated Solutions shall be liable for:

• Indirect, incidental, or consequential damages.
• Loss of profits, revenue, or business opportunities.
• Business interruption or downtime.
• Loss of or damage to data.

15. Indemnification

You agree to indemnify, defend, and hold harmless United Integrated Solutions, its officers, and its employees from any claims, losses, damages, or costs (including reasonable attorneys' fees) arising from your misuse of the platform, your violation of these Terms, or your infringement of any third-party rights.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. The competent courts of the State of Wyoming shall have exclusive jurisdiction to resolve any dispute arising out of these Terms.
